Welcome to the Eduzap Merchant App (“App”). These Terms and Conditions
(“Terms”) govern your use of the App and services provided by Eduzap LLP
(“Company”, “we”, “us”, “our”). The App allows registered merchants to
manage their store, accept customer orders, and fulfill deliveries via
the Eduzap Platform. By registering on the App, you agree to these

1. Introduction

2. Eligibility and Onboarding
To use the Eduzap Merchant App, you must:
- Own or operate a physical store authorized to sell educational and stationery products.
- Provide valid business documentation (GSTIN, PAN, bank account, etc.).
- Complete Eduzap’s onboarding and verification process.
The Company reserves the right to approve or reject merchant
registrations at its sole discretion.

3. Merchant Responsibilities
As a merchant, you agree to:
- Manage stock accurately and update product availability promptly. The Company is not responsible for missed orders due to poor stock management.
- Accept and process orders in a timely manner.
- Ensure that products listed are genuine, legally permitted, and in sellable condition.
- Issue GST-compliant invoices for each sale.
- Comply with all applicable laws including consumer protection, taxation, and IP rights.

4. Product Listing and Approval
Merchants may add new products using the App. However:
- New products will be visible on the Eduzap customer app only after passing our internal approval and quality checkpoints.
- Listing of counterfeit, misleading, or banned products is strictly prohibited and will result in account suspension.

5. Order Allocation and Fulfillment
- Orders are assigned based on proximity to the customer’s location, with priority given to the nearest merchant first.
- If you repeatedly reject or cancel orders, the system may temporarily block your store from receiving new orders.
- Persistent violations will be treated as a breach of agreement and may result in permanent termination.

6. Payouts and Commission
- The Company collects payments from customers on your behalf.
- All applicable fees and commissions will be deducted, and the net amount will be settled to your registered bank account on a T+2 working day basis.
- The fee structure is subject to change with prior notice.

7. Returns, Refunds, and Replacements
You agree to:
- Accept returns or replacements within 24 hours of delivery, if applicable and validated by Eduzap.
- Issue a refund or replacement for any false, defective, or incorrect products.
- Cooperate during any investigation or customer dispute resolution initiated by the Company.

8. Store Conduct and Compliance
You must not:
- Delay or deny order acceptance without valid reason.
- Mislead customers with incorrect product descriptions or pricing.
- Violate local laws or Eduzap policies.
- Use the App for activities unrelated to Eduzap transactions.
Violation may result in immediate suspension or permanent deactivation
of your account.

9. Data and Privacy
- You authorize Eduzap to store and process your store and transaction data for operational, legal, and service improvement purposes.
- You must maintain the confidentiality of customer data and not misuse it in any way.

10. Intellectual Property
The Eduzap name, logo, designs, and platform layout are the
intellectual property of Eduzap LLP. You are granted a limited,
non-exclusive license to use the App solely for fulfilling Eduzap
orders.

11. Limitation of Liability
Eduzap LLP is not liable for:
- Any loss of orders due to incorrect stock status or delayed responses.
- Indirect or consequential damages resulting from your use of the App.
- Your non-compliance with legal obligations or customer claims related to faulty products.

12. Termination
The Company may suspend or terminate your access to the Eduzap Merchant
App:
- If you breach these Terms.
- If there is fraudulent activity or repeated customer complaints.
- If your account remains inactive for an extended period.
You may also request account closure by contacting support.

13. Governing Law and Jurisdiction
These Terms shall be governed by the laws of India. Any disputes shall
be subject to the exclusive jurisdiction of the courts in Lucknow, Uttar
Pradesh.
